How SPRINGS-C Services are delivered

SPRINGS-C LLC provides SPRINGS-C as electronically delivered business software and related implementation and support services for cleaning companies.

No physical goods are shipped as part of the standard SPRINGS-C software subscription.

Because SPRINGS-C is sold through a sales-assisted process and may be configured according to each Customer's requirements, service activation and implementation timing can vary depending on the agreed scope.

Service Delivery Overview

1. What SPRINGS-C Delivers

SPRINGS-C is a CRM and operations platform built for cleaning companies.

Depending on the Customer's agreed scope, the Services may include access to software functionality relating to customers, service locations, cleaning jobs, employees, scheduling, operational finance, payment tracking, inventory, equipment, quality control, communication, reporting, AI-assisted workflows, and related operational processes.

The exact Services, modules, limits, implementation scope, integrations, and other Customer-specific requirements are confirmed through the applicable commercial arrangement.

Not every module, limit, or implementation activity is included in every subscription. The applicable scope is identified in the Customer's own commercial documentation.

Services are provided by SPRINGS-C LLC, the party responsible for delivering the SPRINGS-C Services.

Electronic Delivery

2. Electronic Delivery

SPRINGS-C Services are delivered electronically.

Customers access the applicable software Services through the SPRINGS-C platform using authorized accounts and supported internet-connected devices.

The standard SPRINGS-C subscription does not involve shipment or delivery of physical consumer goods.

Where implementation, configuration, onboarding, data preparation, training, integration assistance, or other professional services are included, those services are also provided according to the applicable commercial agreement.

3. No Physical Shipping

SPRINGS-C is a software and related-services business.

The standard SPRINGS-C subscription does not involve shipment of physical merchandise.

Shipping times, shipping carriers, delivery tracking numbers, physical return addresses, and physical product returns therefore do not apply to the standard SPRINGS-C SaaS subscription.

Cancellation, refunds, and service-related disputes are instead handled according to the applicable software subscription and service policies.

Delivery Process

4. Sales-Assisted Delivery Process

SPRINGS-C uses a sales-assisted purchasing and implementation process.

Before a Customer becomes obligated to pay, SPRINGS-C and the Customer determine the applicable commercial and implementation scope.

The process generally follows these stages:

Stage 1. Requirements review

SPRINGS-C reviews the Customer's company, operational requirements, locations, users, workflows, integrations, modules, and implementation priorities.

Stage 2. Commercial scope

SPRINGS-C confirms the applicable plan, Services, implementation scope, pricing or pricing basis, currency, billing frequency, subscription term, renewal terms, cancellation conditions, and other relevant commercial terms.

Stage 3. Delivery schedule

The Customer is informed of the expected account activation date, implementation timeframe, delivery schedule, or other applicable timing before payment is requested where the timing is material to the purchased Services.

Stage 4. Payment

After the applicable commercial terms are agreed, SPRINGS-C may provide an individualized payment link, invoice, or other agreed payment instructions.

Stage 5. Activation and implementation

Following successful payment or another agreed billing arrangement, SPRINGS-C proceeds with account activation, configuration, implementation, onboarding, integrations, or other applicable Services according to the agreed commercial arrangement.

5. When Service Is Considered Delivered

Delivery of SPRINGS-C depends on the Services purchased.

For software access, delivery may involve provision or activation of authorized access to the applicable SPRINGS-C environment.

For implementation or professional services, delivery may occur through completion of the applicable configuration, onboarding, integration, training, or other agreed work.

The applicable commercial agreement may specify Customer-specific acceptance, activation, implementation, or delivery conditions.

This public page does not override Customer-specific delivery terms contained in an applicable written agreement.

6. Changes to Scope

If a Customer requests a material change to the agreed scope after the commercial arrangement has been established, the change may affect implementation requirements, pricing, delivery timing, or other commercial conditions.

Material scope changes should be confirmed through the applicable commercial process rather than treated as automatically included in the original delivery schedule.

Activation Timing

7. When the Customer Receives the Service

SPRINGS-C does not publish one universal activation or implementation period because the time required to deliver the applicable Services depends on the Customer's purchased scope and implementation requirements.

Factors that may affect delivery timing include:

  • selected Services and modules;
  • number of users or locations;
  • account configuration;
  • data preparation or migration requirements;
  • Customer-provided information;
  • requested integrations;
  • implementation services;
  • training or onboarding scope;
  • technical dependencies;
  • other requirements agreed with the Customer.

Before payment is requested, the applicable proposal, Order Form, subscription agreement, statement of work, or other commercial documentation will identify the expected activation date, implementation timeframe, delivery schedule, or applicable delivery conditions where relevant to the purchased Services.

SPRINGS-C does not request payment on the basis of an undisclosed implementation timeline.

8. Service Availability After Activation

After activation, SPRINGS-C provides the applicable subscription Services according to the Customer's commercial agreement.

Like other internet-based software, the Services may occasionally be affected by maintenance, software issues, infrastructure conditions, third-party dependencies, security events, internet availability, or circumstances outside reasonable control.

Any contractual uptime commitment applies only where expressly included in the applicable Customer agreement.

Customer Dependencies

9. Customer Dependencies

Service delivery may depend on the Customer completing reasonable actions necessary for implementation.

Depending on the agreed scope, Customer responsibilities may include:

  • providing accurate account information;
  • identifying Authorized Users;
  • providing configuration requirements;
  • supplying information required for imports or integrations;
  • providing access or credentials required for Customer-authorized integrations;
  • reviewing implementation decisions;
  • participating in onboarding;
  • completing other agreed implementation steps.

A delay caused by missing Customer information, unavailable third-party systems, changed Customer requirements, or another dependency outside SPRINGS-C's reasonable control may affect the expected delivery schedule.

Where a material change affects an agreed implementation schedule, SPRINGS-C and the Customer may address the change through the applicable commercial process.

Geographical Availability

10. Countries and Regions

SPRINGS-C is provided by SPRINGS-C LLC, a United States company.

SPRINGS-C may serve business Customers in multiple countries and regions, subject to commercial, legal, technical, security, payment, integration, and operational considerations.

SPRINGS-C does not represent through the public website that the Services are automatically available for every Customer or use case in every country.

Where geographical availability is relevant, SPRINGS-C confirms whether the Services can be provided to the Customer's country or region during the commercial process and before the Customer becomes obligated to pay.

Customer-specific requirements concerning data location, regulated data, payment methods, integrations, or other jurisdiction-specific matters may require additional review.

Cancellation

11. Cancellation Before or During Implementation

Cancellation rights and the financial effect of cancellation depend on the applicable Customer agreement, the Services already provided, the subscription term, implementation work performed, and applicable law.

A Customer that wants to cancel or prevent renewal may use the online cancellation process or contact SPRINGS-C at [email protected].
